Shareholder Privacy Notice
This Privacy Notice is issued on behalf of BF&M Limited, which is a publicly traded holding company, listed on the Bermuda Stock Exchange. Headquartered in Bermuda, we conduct business through the trading names BF&M Limited and Island Heritage Insurance Company, Ltd.
BF&M’s Head Office is located at BF&M Insurance Building, 112 Pitts Bay Road, Pembroke HM 08 Bermuda.
BF&M is the relevant data controller of your personal data and we collect and process your personal data in accordance with applicable data protection laws and in accordance with our full privacy policy, available at bfm.bm/privacy. Our privacy policy sets out how we safeguard your personal data, how long we retain your personal data for, and the rights you may have over how we process it.
What personal data will we collect when you become a registered shareholder?
BF&M will collect and process some or all of the following: your individual data (name, contact details), identification data (details or copies of passport or driver’s licence), and financial data (bank account details for distribution of dividends).
We will collect this personal data from you when you provide details to us directly (you will be required to complete the shareholder details form or relevant share transfer forms), or through your agent, stockbroker, Bermuda Stock Exchange or share plan administrator.
Whilst you hold shares in BF&M Limited, we will collect transaction data, concerning the number and type of shares held, sold and transferred by you and any voting instructions (for a power of attorney).
How do we use and process your personal data?
We use your personal data for the following purposes:
- To manage your shareholding;
- To keep our shareholder register accurate and up-to-date;
- To contact you about shareholder information, including information about the distribution of dividends, shareholder resolutions, reports and details of the Annual General Meeting; and
- To address any queries you may have.
Whenever we collect and process your personal data, we will ensure that we have a lawful basis for doing so, which will be one or more of the following:
- As necessary to manage your shareholder rights and our obligations to you as a shareholder, in accordance with our Articles of Association and all applicable laws;
- To comply with our legal and regulatory obligations; and
- For our legitimate interests of operating and improving our business (only where those do not override your privacy rights).
How do we share your personal data?
We may sometimes share your personal data with third parties in the following circumstances:
- BF&M Group companies, as necessary for our legitimate interests and to operate our global business;
- Payment providers to enable payment of dividend and other payments to our shareholders;
- Third-party service providers or agents or brokers that perform services and other business operations for us, for example, IT, data service and analytics providers, actuarial service entities, auditors and advisers;
- Other third parties at your request or with your consent;
- Bermuda Stock Exchange;
- Any law enforcement agency, court, regulator, government authority or professional body who regulates how we operate, including the Bermuda Monetary Authority;
- Fraud prevention agencies such as the Financial Intelligence Agency Bermuda;
- Public disclosure of the share register where the law requires or permits disclosure; and
- Purchasers (potential and actual) that purchase, or to which we transfer, all or substantially all of our assets and business or with whom a restructuring transaction is contemplated. In such circumstances, we will use our reasonable efforts to try and ensure that the entity receiving the personal data uses it in a way consistent with our privacy policy.
